Job title: M&A Tax Manager - Partnership Consulting & Modeling
About the Role
As part of Baker Tilly's Transaction Services Tax practice, the M&A Tax Manager will develop and implement transaction advisory services for clients to address complex tax considerations in acquisitions, restructurings, and related activities. This role supports engagement with Partners across Baker Tilly's offices; open to location across our U.S. offices.
What You'll Do

Interact directly with Partners on matters related to client and engagement management

Model financial transactions for valuation, structuring and negotiation

Prepare memoranda and presentations describing key attributes of target companies and industries

Review and analyze tax aspects of acquisition and merger agreements and draft tax opinions/memoranda

Identify and analyze tax risks and opportunities while advising on alternative tax strategies for deals and restructurings

Review tax computations in financial models and assist with quantitative and qualitative tax data analysis in projections

Data gathering, document review and report preparation

Research and financial analysis of target companies

Due diligence for buy-side and sell-side transactions

Transaction structuring for tax and accounting issues

Negotiation support

Communicate with business owners to ensure exceptional client service

Participate in marketing and recruiting activities

What We're Looking For
-
Bachelor's degree in finance, accounting or related field; or graduate degree with 4+ years of related experience

5+ years of work experience in a mid-to-large professional services firm

CPA or JD/LLM required

Tax due diligence, deal structuring and post-acquisition planning experience and/or inbound/outbound international tax research, planning and compliance experience

Demonstrated analytical, problem-solving, organization, interpersonal, project management and communication skills; proficient in Microsoft Suite

Strong written communication skills

Ability to provide exceptional client service, commitment to continuous learning, ethical standards and a sense of urgency toward quality and timely completion

Compensation & Benefits

Salary range: USD 130,000 - 215,000 per year
