The team you are joining

Wholesale Gas and LNG Legal Advisor will coordinate and manage negotiations of different kind of contractual agreement such us Master Sales and Purchases Agreements, EFET, Acuerdo Marco for the Spanish Gas Market, ISDAs, Services Agreements, LNG Confirmation Notices and other contractual documents, identifying risks while offering mitigating alternatives to the Wholesale Gas Trading business.

The candidate for this position will obtain a broad knowledge of the growing LNG/Natural Gas Trading business, collaborating with different teams within Repsol and external counterparties. You will have demonstrated knowledge in contract law principles, contract interpretation, remedies, liability, allocation, credit protections, governing law, dispute resolution, and cross border commercial contracting.

Main tasks

  • Analys proposed transactions during the pre-deal phase and advise Front Office stakeholders on contractual structure, allocation of contractual risk, obligations, protections, and potential mitigation alternatives. Draft, review and negotiate agreements such us Master Sales and Purchases Agreements, EFET, Acuerdo Marco for the Spanish Gas Market, ISDAs, Services Agreements, LNG Confirmation Notices and other contractual documents.
  • Identify contractual, commercial, credit, operational, compliance and execution risks ad coordinate appropriate review with the relevant subject-matter experts.
  • Liaison between counterparties and internal stakeholders (commercial, legal, credit, compliance, tax and operations) facilitating consistent, timely follow-up and ensuring contract compliance.
  • Serve as the principal point of contact for assigned counterparties and internal stakeholders, coordinating with General Counsel when formal legal review advice is required. Collaborate in the new counterparties onboarding process (KYC)
  • Respond to Front Office and Back Office questions, inquiries, requests for clarification, etc. regarding contractual terms and conditions.
  • Maintain clear records of negotiations, approvals, contractual deviations, executed documents and relevant obligations.
  • Contribute to the development and continuous improvement of contract templates, clause libraries, negotiation guidance, deviation matrices, policies, procedures, controls and contract management systems. Escalate matters outside the roles’ delegate authority or requiring specialist Legals, Tax, Compliance, Credit or regulatory review.

You will fit the position if

  • Bachelor's degree in Law School
  • 3 years+ experience in a similar position in a Gas/LNG trading business or other commodities
  • Demonstrated ability to apply legal training to commercial contract drafting, negotiation, risk identification and transaction execution within a business environment.
  • Ability to draft, assess and negotiate LNG/Natural Gas contracts
  • Proven ability to cross collaborate with multiple organizations and disciplines, leading in conflict management and resolution.
  • Excellent interpersonal and influencing skills as well as excellent verbal and written communication skills both in English and Spanish.
  • Understanding of negotiation tactics, prioritization based on forecast requirements size, complexity, and strategy.
  • Ability to manage multiple negotiations and priorities in a deadline-oriented trading environment.
