Job title: Senior Legal Counsel (Technology and Procurement)

About the Role Senior Legal Counsel (Technology and Procurement) in Northern Trust's Legal Department will provide high quality legal advice to senior management and business partners on technology and procurement matters, with a focus on AI, SaaS, licensing, cloud, on-prem, data licenses, distributed ledger technology, and related regulatory considerations across geographies.

What You'll Do

  • Support the Procurement and Technology legal team’s efforts to accelerate responsible AI adoption in compliance with legal, regulatory, and supervisory expectations.
  • Advise business units and technology teams in development and negotiation of vended AI tools, client-facing contracts involving technology products (e.g., SaaS, software licenses, data licenses, distributed ledger technology, federated single sign-on).
  • Develop and update template contracts, playbooks, terms of use, and other terms and conditions for technology initiatives and products across the enterprise.
  • Collaborate with cross-functional teams (Data Privacy, Information Security, Risk, Compliance, Tax) including in other jurisdictions.
  • Advise and contribute to IT Risk, Cloud governance, and AI committees and working groups focused on new technology initiatives.
  • Lead negotiations around strategic transactions including complex license agreements, reseller agreements, and other corporate development arrangements.
  • Provide legal support for technology-related corporate initiatives and assist other Legal Department teams.
  • Monitor and advise on legal and regulatory developments impacting procurement and technology, updating templates and playbooks as needed.

What We're Looking For

  • U.S.-qualified J.D. degree and valid bar admission; licensed to practice in the appropriate jurisdiction.
  • Minimum 10 years of experience at a national law firm and/or in-house, advising on technology and procurement matters.
  • Proven ability to draft, negotiate, and review software licenses, SaaS, data licenses, distributed ledger technologies, managed services, and on-prem solutions; strong vendor and client-side perspective.
  • Deep understanding of regulatory issues affecting technology contracts and cloud data placements (FRB SR23-4, PRA SS2/21, GDPR, CCPA, DORA, EU AI Act); experience in regulated financial services preferred.
  • Excellent oral and written communication skills; ability to work with stakeholders at all levels and manage external counsel relationships.
  • Self-starter with practical, solutions-oriented approach and ability to work across geographies and cross-functional teams.
  • Authorized to work in the United States without visa sponsorship; no visa sponsorship available.

Nice to Have

  • Experience with AI tools and vended AI products; cloud governance; cross-border deployments across multiple geographies.
  • Familiarity with financial services regulators and fintech technology deployments.

Compensation & Benefits

  • Salary range: 160,100 - 272,300 USD annually.
