About the Role The Mergers & Acquisitions team at Baker McKenzie is seeking a Senior Associate with 6 to 10 years' PQE to advise on large-scale, cross-border transactions across M&A, venture capital, private equity, and investment funds. The role involves drafting and negotiating core transaction documents, managing due diligence, disclosures and closings, and delivering high-quality client service. You’ll work closely with corporate Partners to develop leadership on transaction teams, and you may undertake secondments or office transfers, with opportunities for business development and client promotion. What You'll Do
- Advise on large-scale, complex, cross-border M&A, venture capital, private equity, and/or investment funds transactions.
- Draft and negotiate key transaction documents; assist with due diligence, disclosure exercises and closings.
- Provide high level client service; develop relationships with clients to understand business, economic drivers, market and sector requirements to ensure advice is relevant and commercial.
- Draft and review documents including term sheets, subscription agreements, share sale and purchase agreements, shareholders' agreements, joint venture agreements and ancillary documentation.
- Collaborate with corporate Partners to develop leadership on transaction teams on large, complex transactions; supervise junior lawyers and paralegals; share knowledge with team.
- Maintain regular direct contact with clients; participate in client secondments and internal transfer opportunities.
- Engage in business development and promotion of the Firm. What We're Looking For
- 6 to 10 years PQE in M&A or related practice.
- Ambitious, energetic Senior Associate capable of handling large-scale cross-border M&A transactions, venture capital, private equity and/or investment funds; comfortable working with sovereign wealth funds, multinational corporations, regional and global funds and family offices.
- Strong drafting and negotiating skills; experience with term sheets, SPAs, shareholders' agreements, joint venture agreements, subscription agreements and related ancillary documents.
- Experience managing due diligence, disclosures and closings; ability to provide high-level client service.
- Ability to supervise and mentor junior lawyers and paralegals; willingness to be actively involved in knowledge sharing and business development.
- Comfortable with direct client contact and flexible to secondments and internal transfers. Compensation & Benefits
