What you'll do
-
Lead negotiations with the acquirer on price, structure, escrow and holdbacks, indemnities, transition arrangements, management terms and the long-term commercial agreements.
-
Advise on deal structure (business transfer, demerger/scheme or share sale), balancing tax efficiency against approval timelines.
-
Bring in and manage corporate tax advisors and transaction lawyers, within one all-in budget.

Plan and run the regulatory path:
-
SEBI LODR, including minority-shareholder approval for sale of an undertaking
-
the Takeover Code
-
NCLT if needed
-
FEMA/FDI
-
stock exchange filings
-
Prepare board and shareholder materials, valuation and fairness opinions, and the disclosure strategy.
-
Own the timeline and checklist through to closing.
-
Must have
-
10+ years in M&A at a reputed investment bank, a Big 4 transaction services practice or a top-tier advisory firm. Now running your own boutique or practice.
-
Personally led at least 3 sell-side, carve-out or business-sale transactions in India in the last 5 years, ideally involving a listed company and a foreign strategic buyer.
-
Strong working knowledge of SEBI regulations, Companies Act schemes and transaction tax: slump sale, demerger, capital gains.
-
A trusted network of tax and legal partners you can bring in at competitive rates.
-
Access to a SEBI-registered merchant banker, in-house or through a partner.
-
No existing advisory relationship with large global ITAD or IT asset lifecycle companies. We will run a full conflict check after the NDA.
-
Good to have
-
Experience in electronics, IT hardware, supply chain or ITAD.
-
Experience structuring founder or management equity on the buy side.
-
Commercials
-
One capped, all-in budget of ₹1.5-2 Cr covering your fee, legal counsel and tax advisory. Statutory fees, stamp duty and the registered valuer are outside it.
-
Preferred structure: a modest retainer that is adjusted against a success fee paid on closing. Upside only on value achieved above an agreed base.
-
The company is the only payer. The tail period is no longer than 12 months, limited to the named acquirer.
