About the Role Squire Patton Boggs is seeking a mid to senior level Associate with corporate transactional experience to join its sophisticated corporate practice. The role offers the opportunity to handle significant responsibilities on complex transactions for key clients and to work with a growing local and global team. The position can be based in Cincinnati, Cleveland, or Columbus and will expose you to a broad range of corporate matters including cross-border M&A, private equity, debt finance, capital markets, joint ventures, strategic alliances, commercial contracts, securities offerings, and governance. What You'll Do
- Advise firm clients on mergers and acquisitions, joint ventures, and other corporate transactional matters
- Transaction management and due diligence
- Assist with managing client relationships
- Coordinate cross-border transaction teams and manage data rooms
- Draft purchase agreements, ancillary documents, and third-party opinions
- Negotiate various aspects of corporate transactions What We're Looking For
- JD from an accredited law school with a strong academic record; Admission to the Ohio Bar in good standing
- At least 5 years of meaningful experience in a law firm managing mergers and acquisitions, securities, and other corporate transactional matters
- Experience in mergers and acquisitions, dispositions, auctions, carve-out transactions, joint ventures and/or cross-border transactions
- Demonstrated ability to draft purchase agreements, ancillary documents, and third-party legal opinions
- Demonstrated ability to coordinate transaction teams (domestic and cross-border) and manage due diligence and the data room
- Strong verbal and written communication, organizational, analytical, and teamwork skills; ability to prioritize and handle multiple matters

- Salary range: $250,000 to $320,000 per year
