About the Role

This role sits under the Director, Legal (Procurement and Strategic Sourcing). We are looking for a Procurement Counsel to support the high volume of vendor and supplier agreements that keep Nscale building. You will be the day-to-day legal partner to our Procurement, Supply Chain, Engineering and business teams, negotiating agreements for hardware, software, networking components, services and operational spend.

You will handle a broad portfolio of matters independently, escalate thoughtfully, and help build the templates and processes that allow us to contract quickly and safely at scale.

What You'll Be Doing Contracting

• Draft, review and negotiate a wide range of procurement agreements, including hardware purchase and supply agreements, software licenses and SaaS subscriptions, support and maintenance agreements, professional services agreements, statements of work, and NDAs.
• Support the Director, Legal (Procurement and Strategic Sourcing) on strategic, high-value supply agreements for compute, networking and storage, owning defined workstreams and ancillary documents.
• Negotiate key terms such as pricing and payment, delivery and acceptance, warranties, service levels, data protection and security, IP, indemnities and limitations of liability.
• Review supplier terms for data protection, information security, export control and sanctions, and anti-corruption requirements, working with Privacy, Security and Compliance colleagues.

Business partnership

• Serve as a responsive, practical legal advisor to Procurement, Nscale Cloud, AI Infrastructure, and Finance stakeholders, helping them understand risk and move deals forward.
• Triage incoming requests, prioritize against business timelines and escalate material issues appropriately.
• Help resolve day-to-day supplier issues such as delivery delays, warranty claims and contract interpretation questions.

Process and scale

• Develop and maintain procurement templates, clause libraries, playbooks and FAQs that enable self-service for lower-risk contracts.
• Supervise and support the Procurement Paralegal, and partner with Legal Operations on contract lifecycle management and reporting.
• Provide training to business teams on contracting processes and key risk areas.

About You

• JD from an accredited US law school and active membership in good standing of at least one US state bar.
• 5–8 years of legal experience at a law firm and/or in-house, with a strong focus on commercial and procurement contracts.
• Hands-on experience negotiating agreements for software, hardware, networking components and technology services.
• Solid understanding of technology contracting issues, including licensing, SaaS, data protection, warranties, indemnities and limitations of liability.
• Ability to manage a high volume of matters independently with sound judgment about when to escalate.
• Strong drafting, negotiation and communication skills, with a collaborative, service-oriented approach.

Nice to have

• In-house experience at a cloud provider, data center operator, telecom, semiconductor or high-growth technology company.
• Familiarity with hardware supply chain concepts (allocation, lead times, RMA, spares) and trade compliance.
• Experience with CLM tools and building scalable contracting processes.
