Job title: Legal Counsel
About the Role We are seeking a legal counsel with experience in transactional law, corporate law and/or litigation to join our legal team at one of our Canadian legal centers. You will provide advice to the company and its functional groups at head office, manage disputes, review and negotiate construction and engineering services contracts as well as subcontract and materials supply agreements, and support operational units with dedicated legal guidance while collaborating with senior leadership. Critical thinking, problem-solving and sound judgment are essential. This role reports to the Group General Counsel.
What You'll Do
- Provide regular legal advice on the issues facing the Company and coordinate with the broader legal team to address needs across the organization.
- Oversee legal matters across each district and provide timely, practical guidance to district leadership.
- Draft joint venture agreements, consortium agreements, Memoranda of Understanding, terms lists and other service contracts, including documents related to First Nations engagement.
- Ensure compliance with contractual protocols, commercial standards and corporate directives; coordinate with internal stakeholders and subject-matter experts on legal issues and risk.
- Lead negotiations on key contracts: main supply/subcontracting agreements, MOUs, and related documents; coordinate with the commercial lead and internal sourcing network.
- Perform initial file assessments, review contractual provisions, facts and applicable law to provide swift risk assessments; participate as a full member of teams developing detailed claims.
- Collaborate with external counsel, internal resources and external experts to resolve claims, disputes and other matters; coordinate dispute resolution strategy with stakeholders and experts.
What We're Looking For
- 5 to 8 years of experience in transactional law, corporate law and/or litigation.
- Strong contract drafting and negotiation skills; ability to lead negotiations of major contracts and ensure risk is properly managed.
- Ability to collaborate across internal teams and communicate effectively with leadership.
- Familiarity with First Nations engagement documents is a plus.
- Critical thinking, problem-solving abilities and sound judgment.
