Job title: Group Company Secretary

About the Role The Group Company Secretary will manage the corporate governance requirements of Marex's subsidiaries, including event-driven actions (appointments/resignations, name changes, changes to articles, dividend payments, share capital changes), coordinating meetings, and maintaining statutory registers. The role also supports the year-end process, coordinates with external company secretarial providers, and helps maintain the Group's Corporate Governance Framework and intranet page.

What You'll Do

  • Manage corporate governance for a portfolio of Marex subsidiaries, including event-driven actions and ensuring filings with Companies House and global regulators.
  • Coordinate meetings (scheduling, agenda, papers) and maintain statutory registers on Diligent Entities; take and produce accurate minutes.
  • Assist with the financial year-end process, including drafting/reviewing subsidiary accounts and facilitating approval.
  • Liaise with external company secretarial service providers and coordinate outsourced services where applicable.
  • Assist with transaction-based events (acquisitions, disposals, incorporations, closures) as necessary.
  • Maintain and develop the Group’s Corporate Governance Framework (terms of reference, policies, procedures, authorised signatory lists) and manage the governance intranet page.
  • Ensure compliance with operational risk framework, regulatory requirements, and the FCA Code of Conduct; escalate risk events as required and report breaches to Compliance.
  • Contribute to a culture of integrity and proactive risk management; provide input to risk management processes as required.

What We're Looking For

  • Significant experience ideally gained in financial services; experience with listed companies, large private groups, or professional services is beneficial.
  • Strong understanding of corporate governance best practice, global subsidiary governance, and excellent minute-taking skills.
  • Chartered Governance Institute qualified or part-qualified.
  • Experience working in a regulated environment with knowledge of risk and compliance requirements.
  • Excellent verbal and written communication skills, attention to detail, resilience in a fast-paced environment, and the ability to work collaboratively.
  • Proactive, inquisitive mindset with strong relationship-building and influencing abilities.

Nice to Have

  • Experience with Diligent Entities or similar company secretarial software.
