About this role

About the Role The Commercial Counsel is responsible for providing comprehensive legal support to Motorola Solutions' Supply Chain organization, including reviewing, negotiating, and mitigating risk in a variety of vendor contracts and technology-related agreements, while ensuring compliance with company policies and applicable laws. This role requires proactive risk management and the ability to lead a broad spectrum of legal projects beyond core transactional work. What You'll Do

  • Draft, review, and negotiate vendor contracts and technology-related agreements (license, product supply, software development, cloud, and service agreements).
  • Advise internal business clients on vendor contracting, negotiation strategies, contract disputes, IP matters, privacy, cybersecurity, and regulatory compliance.
  • Identify and mitigate risks in collaboration with Supply Chain and other teams; coordinate with stakeholders across marketing, product, finance, implementation, and sales through the pre-sales, sales, and post-contract lifecycle.
  • Maintain streamlined contract policies, templates, and playbooks to improve efficiency.
  • Manage contract disputes, including drafting breach notices, settlements, and participating in mediations as needed.
  • Provide guidance to achieve business objectives while mitigating risk and ensuring regulatory compliance; conduct cost-benefit analyses when evaluating risks.
  • Support other commercial and non-commercial areas (real estate, labor and employment, corporate governance, data privacy); drive process improvements, template governance, and regulatory due diligence.
  • Develop and maintain technical knowledge in specialized areas and escalate complex matters to senior counsel when appropriate.
  • Build trusted advisor relationships with senior leadership and collaborate to enable practical problem-solving and informed decision-making. What We're Looking For
  • Juris Doctor (JD); active bar admission in at least one state.
  • 8+ years of experience in corporate transactional matters, contract negotiation, and/or commercial transactions; preferably with a technology focus (software agreements, data privacy, IP).
  • In-house legal experience preferred, including supervision of outside counsel.
  • Substantial experience drafting, reviewing, and negotiating contracts; ability to manage complex negotiations and multi-stakeholder projects. Nice to Have
  • In-house experience preferred (as above).
  • Experience leading outside counsel relationships and M&A integration support.
