Commercial Counsel

Silicon Valley tech company is looking for an experienced Commercial Counsel to join its legal team. This Counsel opportunity is ideal for a licensed attorney with deep expertise in enterprise SaaS transactions who can step in quickly and partner with internal stakeholders on high-value commercial agreements. The role requires an on-site presence in Palo Alto, CA, with the expectation of working from the office approximately three days each week.

Responsibilities

• Lead the review, drafting, and negotiation of complex commercial agreements related to enterprise SaaS offerings.
• Advise business partners on contract terms, legal risk, and practical deal strategies to help move transactions forward efficiently.
• Manage key customer and vendor agreement workflows, including master services agreements, data processing addenda, and business associate agreements.
• Redline contracts thoroughly and propose clear revisions that align legal protections with business objectives.
• Collaborate closely with cross-functional teams to resolve contractual issues and support timely execution of deals.
• Provide legal guidance on agreement structures and negotiation positions in a fast-paced technology environment.
• Help maintain continuity of commercial legal support while the company identifies a long-term addition to the team.

Qualifications

• Active license to practice law in at least one U.S. jurisdiction.

• 7-15+ years of experience negotiating commercial contracts, with significant focus on enterprise SaaS agreements.

• Demonstrated background supporting technology companies.

• Strong command of contract negotiation, issue spotting, and redlining for complex business transactions.

• Hands-on experience with agreements such as MSAs, DPAs, BAAs, and related commercial documents.

• Ability to work on-site in Palo Alto, California approximately three days per week.
