About the Role Join Morrison Foerster's Capital Markets Practice Group as a capital markets associate with 1-3 years of experience in 33 Act transactional work, 34 Act compliance, and corporate governance matters. This role focuses on representing issuers, underwriters, and financial institutions across the spectrum of public and private offerings, and advising on SEC reporting and governance best practices.
What You'll Do
- Counsel issuers, underwriters, agents, and financial institutions on public and private offerings of equity and debt securities, including 33 Act transactions.
- Support public company clients with 34 Act reporting obligations, corporate governance, and stock exchange listing requirements.
- Advise on private placements, Rule 144A offerings, and capital-raising transactions, including REITs and real estate companies.
- Provide guidance on SEC disclosure and board governance issues, shareholder engagement, and related corporate governance matters.
What We're Looking For
- 1-3 years of experience in 33 Act transactional work, 34 Act compliance and corporate governance.
- Experience representing issuers, underwriters, agents, and financial institutions in public and private offerings of equity and/or debt securities.
- Admission to the state bar in the practicing jurisdiction or eligibility to waive in.
- Strong analytical, collaboration, and communication skills; ability to work across teams and geographies.
Nice to Have
- Experience advising public companies on 34 Act reporting obligations and stock exchange listing requirements.
- Knowledge of REIT formation, structuring, and capital-raising transactions.

- Washington, DC annual salary range: $225,000-$260,000 USD.
